EZKart Terms of Use
Effective Date: June 16, 2026
These Terms of Use (“Terms”) govern access to and use of EZKart websites, merchant dashboards, ordering pages, payment and payout tools, Clover integration features, QR table ordering, reporting tools, APIs, plugins, support services, and related services (collectively, the “Services”). The Services are operated by Teknoverse LLC (“Teknoverse,” “EZKart,” “we,” “us,” or “our”), Aurora, Illinois 60503, United States. You may contact us at support@ezkart.app.
By accessing or using the Services, creating an account, installing an EZKart plugin, connecting Clover, connecting Stripe, placing an order through an EZKart-powered ordering page, accepting an invitation to manage a location, or otherwise using EZKart, you agree to these Terms. If you use the Services on behalf of a business, franchise, restaurant, store, or other organization, you represent that you are authorized to bind that organization to these Terms.
 
1. Who Uses EZKart
EZKart supports several roles.
“Merchant” means a business that uses EZKart to manage online ordering, Clover POS connectivity, payment routing, menu sync, QR table ordering, reporting, or related services.
“Franchisee” or “Location Owner” means a person or entity invited by a Merchant to onboard or manage payout, ordering, or operational settings for a specific location.
“Merchant Staff” means employees, contractors, agents, or other users who access EZKart on behalf of a Merchant or Location Owner.
“Customer” means a person who views a menu, scans a QR code, places an order, pays for an order, receives order updates, or otherwise interacts with an EZKart-powered ordering experience.
“You” means any Merchant, Location Owner, Merchant Staff user, Customer, visitor, or other user of the Services.
 
 2. What EZKart Provides
EZKart provides software and platform services that may include:
– merchant registration and setup tools;
– Clover OAuth connection and Clover POS synchronization;
– multi-location POS connection management;
– menu, category, modifier, image, tax, hour, printer, order type, and branding sync;
– online ordering pages for pickup and other enabled fulfillment options;
– QR-only dine-in table ordering where each table has a unique QR code;
– Stripe-powered online payment processing and payout onboarding;
– franchisee or location-level payout onboarding;
– order creation, order status, refund tools, refund reconciliation, and customer notifications;
– merchant reporting, audit logs, readiness checks, and operational dashboards;
– support, diagnostics, and administrative tools.
EZKart is a technology platform. Merchants, not Teknoverse, are responsible for preparing, selling, fulfilling, delivering, refunding, and supporting the food, beverages, goods, or services ordered through EZKart-powered pages.
 
3. Merchant Accounts and Authority
Merchants must provide accurate account, business, tax, location, payment, payout, menu, product, pricing, fee, availability, hour, tax, fulfillment, and support information. A Merchant must keep that information current.
A person creating, installing, registering, connecting, or managing a Merchant account represents that they:
– are at least 18 years old;
– have authority to act for the Merchant;
– may authorize Clover, Stripe, WordPress, and other integrations for the Merchant;
– may accept fees, payout timing, refund handling, and operational terms for the Merchant;
– will supervise Merchant Staff accounts and access.
Merchant Staff may use admin tools only if authorized by the Merchant. Merchant Staff users who are 16 or 17 years old may use EZKart only under the Merchant’s authorization, supervision, and responsibility. Merchants are responsible for all activity under their accounts and credentials.
You must keep passwords, API keys, tokens, admin links, invitation links, QR management tools, and connected accounts secure. You must notify us promptly at support@ezkart.app if you suspect unauthorized access.
 
4. Clover Integration
EZKart connects to Clover through OAuth or other authorized Clover connection methods. By connecting Clover, a Merchant authorizes EZKart to access and use Clover account information as needed to provide the Services, which may include locations, merchant profile information, inventory, items, categories, modifiers, taxes, tenders, order types, printers, business hours, orders, payments, refunds, and webhooks.
Each Clover merchant/location may need to be authorized separately. Multi-location Merchants are responsible for connecting the correct Clover merchant IDs and confirming that each local EZKart location maps to the correct Clover location.
EZKart may create or update Clover orders, order notes, line items, modifiers, tax details, customer details, payment records, tender references, printer events, and refund reconciliation records when needed to process EZKart-created online orders. Some Clover features depend on Clover plan availability, merchant permissions, device settings, printer configuration, tender setup, and Clover API availability.
Merchants are responsible for:
– having a valid Clover account and service plan;
– granting required Clover permissions;
– reconnecting Clover when permissions, tokens, locations, or credentials change;
– confirming that synced items, modifiers, prices, taxes, and order types are accurate;
– confirming that Clover receives orders as expected before relying on live ordering;
– monitoring failed sync, printer, payment, and refund events.
EZKart is not Clover and does not control Clover accounts, service plans, devices, printers, app approvals, API outages, permission changes, or Clover processing rules.
 
5. Stripe and Payments
EZKart uses Stripe and Stripe Connect to support online card payments, platform fees, Merchant payouts, franchisee or location-level payouts, payment verification, and refunds. By connecting Stripe, a Merchant or Location Owner agrees to Stripe’s applicable terms, onboarding requirements, identity verification, risk reviews, payout timing, and account restrictions.
EZKart may create payment intents, verify payment status, route payments to connected accounts, apply platform fees, process refunds, record payment metadata, and maintain payout and transaction records. EZKart does not intentionally store full card numbers. Card data is handled by Stripe or other payment processors.
Merchants are responsible for:
– completing Stripe onboarding and verification;
– keeping payout information current;
– paying chargebacks, disputes, reversals, refunds, processor fees, and taxes associated with their orders;
– honoring applicable card network, Stripe, Clover, consumer protection, food service, tax, and commerce rules;
– confirming that payment status, Clover order status, and customer order status match operational reality.
Ordering may be paused, blocked, or limited if payment readiness, payout readiness, fraud controls, platform billing, Clover connection, or required compliance checks fail.
 
6. Franchisee and Location Payouts
EZKart may allow a Merchant to generate onboarding links for a franchisee, location owner, or other payout recipient. The person using an onboarding link must provide accurate identity, business, tax, banking, and payout information. The Merchant is responsible for sending onboarding links only to authorized recipients.
Location-level payout ownership may affect payment routing, payout frequency, platform fees, readiness checks, reporting, refund handling, and operational responsibility. A location may be blocked from online ordering if its required payout account is not ready, even if other locations are live.
 
7. Menu, Product, Tax, and Store Information
Merchants are solely responsible for menu and product information, including names, descriptions, images, prices, modifiers, required selections, availability, allergens, nutrition information, age restrictions, taxes, fees, fulfillment options, pickup timing, delivery rules, and customer disclosures.
EZKart may sync information from Clover or accept information entered in the merchant dashboard. Sync does not guarantee that Clover, EZKart, the Merchant’s website, receipts, or customer-facing pages will always match. Merchants must review settings and test ordering before going live.
Merchants are responsible for determining, collecting, reporting, and remitting all applicable taxes, including sales tax, meals tax, excise tax, delivery tax, and similar charges. EZKart may help sync or calculate taxes based on Merchant settings or Clover data, but tax configuration remains the Merchant’s responsibility.
 
8. Online Orders and Customer Terms
Customers may place orders through EZKart-powered pages hosted on Merchant websites or related ordering links. Customers are responsible for reviewing order details before payment, including location, fulfillment type, item selections, modifiers, quantities, tips, taxes, fees, and pickup or dine-in information.
When a Customer submits an order, the Customer authorizes the applicable payment method to be charged for the order total. Payment authorization does not guarantee Merchant acceptance, item availability, preparation time, or fulfillment.
Merchants are responsible for accepting, preparing, fulfilling, cancelling, or refunding orders. EZKart may show order status based on payment verification, Clover sync, Merchant status updates, webhook events, or other system events. Status messages may be delayed or inaccurate if a third-party service, Merchant site, device, or connection fails.

9. QR-Only Dine-In Ordering
EZKart may allow Merchants to create unique QR codes for tables. QR dine-in ordering is designed to activate only when a Customer scans a valid table QR code. A table QR code may automatically select the Merchant location and table label or number.
Merchants are responsible for:
– placing the correct QR code on the correct table;
– removing inactive or regenerated QR codes;
– verifying dine-in orders route to the correct location, printer, and Clover account;
– managing table labels, floor plans, service expectations, and customer support;
– ensuring QR codes are not altered, copied, misused, or placed where they could mislead Customers.
Customers should confirm that the displayed Merchant, location, and table information are correct before placing an order.
 
10. Refunds, Cancellations, Chargebacks, and Disputes
Merchant refund policies are controlled by the Merchant, subject to applicable law, card network rules, Stripe rules, Clover rules, and these Terms. EZKart may provide tools for Merchant-initiated refunds and reconciliation of Clover POS refunds for EZKart-created online orders.
Refund automation applies only to EZKart-created online orders that can be matched to the original EZKart order and Stripe payment. In-person Clover orders, non-EZKart orders, ambiguous refunds, missing refund amounts, unmatched Clover records, and unsupported payment records may be ignored or marked for review.
If a Merchant refunds an order from Clover POS, EZKart may use webhooks, order records, payment records, and refund records to determine whether a matching Stripe refund should be created. If a refund amount cannot be determined reliably, EZKart may pause automatic refunding to avoid over-refunding.
If a Merchant refunds an order from the EZKart plugin, EZKart may attempt to refund Stripe first and then update or reconcile Clover on a best-effort basis. If Clover sync fails after a Stripe refund succeeds, the Customer’s money may still be refunded while Clover status requires Merchant review.
Customers should contact the Merchant first for order issues. Teknoverse may help route support requests but is not responsible for Merchant fulfillment, product quality, wait times, order substitutions, or Merchant refund decisions.
Chargebacks, payment disputes, reversals, fraud claims, and processor fees are the Merchant’s responsibility unless Teknoverse separately agrees otherwise in writing.
 
11. Fees, Billing, and Payout Frequency
EZKart may charge subscriptions, setup fees, platform fees, per-transaction fees, payout-frequency fees, payment-related fees, or other fees displayed in the Merchant dashboard, onboarding flow, plan terms, invoice, order flow, or written agreement.
Payout-frequency choices may affect per-transaction platform fees. Different locations or franchisees may have different payout owners, payout readiness, and fee settings. Merchants are responsible for reviewing fee disclosures before going live.
Merchant subscription, platform, setup, transaction, and service-fee refund requests are reviewed case-by-case. Teknoverse may decline fee refunds where services have been used, transactions have been processed, third-party costs have been incurred, fraud or abuse is suspected, or the request is inconsistent with applicable plan terms. Nothing in this section limits rights required by law.
If Merchant payments to Teknoverse fail, if platform fees cannot be collected, or if a Merchant account creates risk, Teknoverse may pause, suspend, limit, or terminate access to some or all Services.
 
12. Communications
By using EZKart, you agree that Teknoverse, Merchants, and service providers may send transactional communications related to registration, setup, account security, Clover connection, Stripe onboarding, orders, receipts, refunds, payout status, QR tables, support, operational notices, and policy updates.
If you opt in to marketing communications, Teknoverse or Merchants may send promotional email or SMS messages. Consent to marketing messages is not required to use the Services or place an order. Message frequency may vary. Message and data rates may apply. You may opt out of marketing emails by using unsubscribe links and opt out of marketing SMS by replying STOP where supported. Transactional messages may still be sent when necessary to provide the Services.
 
13. Acceptable Use
You may not use the Services to:
– violate law or third-party rights;
– sell illegal, unsafe, counterfeit, infringing, or unauthorized products or services;
– misrepresent menu items, prices, taxes, fees, availability, location, ownership, or fulfillment terms;
– process fraudulent orders, test stolen cards, launder money, evade sanctions, or facilitate illegal activity;
– interfere with Clover, Stripe, WordPress, Merchant websites, EZKart, or other systems;
– scrape, crawl, reverse engineer, overload, scan, attack, or attempt unauthorized access to the Services;
– share credentials, API keys, tokens, QR admin links, or restricted dashboard access with unauthorized parties;
– bypass payment, payout, tax, audit, security, or readiness controls;
– upload malicious code, deceptive content, or harmful files;
– use EZKart in a way that damages Teknoverse, Merchants, Customers, payment processors, POS providers, or other users.
Teknoverse may investigate suspected misuse and may suspend or terminate access without prior notice when needed to protect users, Merchants, Customers, third-party providers, payment networks, or Teknoverse.
 
14. Third-Party Services
The Services depend on third-party services, including Stripe, Clover, WordPress, hosting providers, communication providers, security providers, and Merchant websites. Your use of those third-party services may be governed by their own terms and policies.
Teknoverse is not responsible for third-party service availability, account approval, account suspension, API changes, payment holds, payout delays, app marketplace approval, device compatibility, plugin conflicts, browser issues, network failures, or data supplied by third parties.
 
15. Intellectual Property
Teknoverse and its licensors own EZKart software, interfaces, workflows, designs, documentation, trademarks, logos, service names, APIs, dashboards, reports, and related intellectual property. These Terms do not transfer ownership of EZKart intellectual property.
Merchants retain ownership of their business names, logos, product content, menu data, images, and other Merchant content. Merchants grant Teknoverse a non-exclusive, worldwide, royalty-free license to host, use, reproduce, display, modify, transmit, and process Merchant content as needed to provide, support, secure, and improve the Services.
You must have rights to any content you upload, sync, publish, or provide through EZKart.
 
16. Privacy
Our collection and use of personal information is described in the EZKart Privacy Policy. By using the Services, you acknowledge that we may process personal information as described there.
 
17. Confidentiality and Security
Non-public technical, business, pricing, account, customer, security, token, diagnostic, or integration information made available through EZKart must be treated as confidential unless it is publicly available or disclosure is required by law.
No system is perfectly secure. You are responsible for securing your own accounts, devices, networks, WordPress sites, Clover accounts, Stripe accounts, email inboxes, and staff access.
 
18. Service Changes, Availability, and Beta Features
Teknoverse may change, add, remove, suspend, or discontinue features at any time. Some features may be beta, experimental, limited, region-specific, provider-dependent, or not available to all Merchants.
We try to keep the Services reliable, but we do not guarantee uninterrupted, error-free, or real-time operation. Orders, payments, refunds, sync jobs, webhooks, printer events, status pages, and reports may be delayed, duplicated, rejected, or fail.
 
19. Suspension and Termination
Teknoverse may suspend or terminate access if:
– you violate these Terms;
– required payments or platform fees fail;
– Clover or Stripe readiness fails;
– account activity creates legal, security, fraud, chargeback, compliance, or operational risk;
– third-party providers require suspension;
– continuing service could harm Teknoverse, Merchants, Customers, or third parties.
You may stop using the Services at any time. Certain obligations continue after termination, including payment obligations, refund and chargeback obligations, confidentiality, intellectual property, limitations of liability, indemnity, dispute terms, and record retention.
 
20. Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Teknoverse disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and error-free operation.
Teknoverse does not warrant that:
– Clover, Stripe, WordPress, Merchant websites, printers, devices, or other third-party services will work without interruption;
– menus, prices, taxes, modifiers, images, inventory, or availability will always be accurate;
– orders will always reach Clover or printers;
– payment or refund records will always sync immediately;
– tax calculations or reporting will satisfy a Merchant’s legal obligations;
– Customers will complete orders or Merchants will fulfill orders.
 
21. Limitation of Liability
To the maximum extent permitted by law, Teknoverse will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for lost revenue, lost data, lost goodwill, business interruption, failed orders, failed sync, payment delays, chargebacks, tax errors, refund disputes, POS issues, or third-party service failures.
To the maximum extent permitted by law, Teknoverse’s total liability for all claims related to the Services will not exceed the greater of: (a) amounts paid by the Merchant to Teknoverse for the Services in the three months before the event giving rise to the claim; or (b) one hundred U.S. dollars. This limitation applies regardless of legal theory, even if a remedy fails its essential purpose.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
 
22. Indemnity
You agree to defend, indemnify, and hold harmless Teknoverse LLC, its owners, officers, employees, contractors, service providers, and affiliates from claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising from:
– your use or misuse of the Services;
– your products, services, menus, taxes, fees, fulfillment, refunds, chargebacks, or customer disputes;
– your violation of these Terms or law;
– your content or data;
– your Clover, Stripe, WordPress, payment, POS, or communication accounts;
– your staff, franchisees, contractors, customers, or end users;
– inaccurate business, tax, menu, price, fulfillment, or payout information.
 
23. Governing Law and Venue
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law rules. Any dispute that is not resolved informally will be brought in the state or federal courts located in Illinois, and each party consents to personal jurisdiction and venue in those courts.
Before filing a claim, you agree to contact us at support@ezkart.app and attempt in good faith to resolve the dispute informally for at least 30 days, unless urgent legal relief is necessary.
 
24. Changes to These Terms
Teknoverse may update these Terms from time to time. The updated Terms will be posted with a new effective date. If changes are material, we may provide notice through the Services, email, dashboard notice, or other reasonable means. Continued use of the Services after updated Terms take effect means you accept the updated Terms.
